01 Agreement to terms

These Terms of Service ("Terms") are a binding agreement between you ("you" or "your") and PRceptive ("we," "us," or "our"). They govern your use of prceptive.com (the "Site") and all related services, tools, and features (the "Services").

By using our Site or Services, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Site or Services.

02 Our services

PRceptive designs and builds websites and provides marketing technology and automation for local businesses. Depending on your plan, the Services may include:

• A custom website, plus hosting, domain setup, and ongoing upkeep
• Missed call text back, a review funnel, one click campaigns, a shared lead inbox, and a business phone line
• On the Growth plan, a custom AI assistant and active search engine optimization work

We may improve, change, or stop offering any part of the Services. If a change would materially affect a paid plan, we will give you reasonable notice.

03 Eligibility

You must be at least 18 years old to use the Site and Services. By using them, you confirm that you are at least 18 and able to enter into these Terms. If you are using the Services for a business, you confirm that you are authorized to bind that business to these Terms.

04 Accounts

Some features may require an account or access credentials. You agree to give accurate information and to keep it current. You are responsible for keeping your credentials secure and for activity that happens under your account. Tell us right away if you think your account has been accessed without permission.

05 Subscriptions, billing, and cancellation

The Services are offered as monthly subscriptions. Current plans are Website at $99 per month, Website plus Systems at $297 per month, and Website plus Systems plus Growth at $497 per month. The website build itself is included at no extra cost.

• Billing: Plans are billed monthly in advance to the payment method on file. By subscribing, you authorize us to charge that method each month until you cancel.
• No long term contract: Plans run month to month. There is no minimum term and you can cancel anytime.
• Cancellation: To cancel, contact us at contact@prceptive.com. Your cancellation takes effect at the end of the current billing month, and you will not be charged after that.
• Refunds: Monthly fees pay for the current month of Service and are not refundable, except where the law requires otherwise.
• Past due accounts: If a payment fails or your account falls past due, we may pause or deactivate your Services until the balance is resolved.
• Price changes: We may change pricing. We will give you notice first, and any change applies to future billing periods, not ones already paid.
• When your subscription ends: When you cancel, your website and the systems are deactivated and any dedicated phone number is released back to the carrier.

06 Your website, content, and domain

Your content. Anything you provide for us to use, such as your business name, logo, photos, and text, stays yours. You confirm you have the right to use it, and you allow us to use it to build and run your Services.

Our work. The website we design and build, including its layout, code, and the templates and tools we use to deliver it, remains our property. While you are subscribed, you have a license to use your website as part of the Services.

Your domain. Your domain name is registered for your business and belongs to you. If you cancel, we will help you move it to a provider of your choice.

07 Text messaging and communications

By giving us your phone number, you agree that we may contact you about your account and Services by phone and text. Message and data rates may apply, and you can reply STOP to opt out of texts at any time.

If you use our systems to message your own customers, you are responsible for having proper consent from those customers and for following all applicable laws, including the Telephone Consumer Protection Act (TCPA) and the CAN SPAM Act. See our Privacy Policy for more on how messaging data is handled.

08 Acceptable use

You agree to use the Site and Services only for lawful purposes. You agree not to:

• Break any applicable law or regulation
• Post or send material that is defamatory, obscene, fraudulent, harmful, or abusive
• Try to gain unauthorized access to the Site, other accounts, or connected systems
• Use bots, scrapers, or other automated tools on the Site without our written permission
• Interfere with or disrupt the Site or Services
• Impersonate anyone or misrepresent your affiliation with a person or business
• Collect other people's personal information without consent
• Use the Services to send unsolicited or unlawful messages

We may investigate and take appropriate action against anyone who violates this section.

09 Intellectual property

The Site and its content, features, and functionality, including text, graphics, logos, and software, are owned by PRceptive or its licensors and are protected by intellectual property laws. The PRceptive name and logo are our trademarks and may not be used without our written permission.

We grant you a limited, revocable license to use the Site for your own business purposes under these Terms. This license does not let you copy, modify, distribute, or commercially exploit our content without our written consent. Your own content, covered in Section 6, remains yours.

10 Third party services

The Site and Services may rely on or link to third party tools and websites that we do not control, such as hosting, our booking tool, and the software behind the systems. We are not responsible for their content or practices, and your use of them is governed by their own terms and policies. We encourage you to review them.

13 Indemnification

You agree to defend, indemnify, and hold harmless PRceptive and its owners, employees, and service providers from any claims, losses, liabilities, and expenses, including reasonable attorney fees, arising from your use of the Services, your violation of these Terms, your violation of any law, or your violation of someone else's rights. This includes claims related to messages you send to your own customers through the systems.

14 Termination

You can cancel anytime as described in Section 5. We may suspend or end your access to the Site and Services if you breach these Terms or use the Services in a way that creates risk or legal exposure. When access ends, your right to use the Site and Services stops, and your website and systems are deactivated. Sections that by their nature should continue, such as ownership, disclaimers, limitation of liability, and indemnification, will survive.

15 Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict of law rules. Any dispute that cannot be resolved informally will be handled in the state or federal courts located in Suffolk County, New York, or through binding arbitration in Suffolk County under the rules of the American Arbitration Association, and you consent to that jurisdiction.

16 Changes to these terms

We may update these Terms from time to time. When we make a material change, we will update the date at the top of this page. If you keep using the Site or Services after that, you accept the updated Terms. Please review them now and then.
